Terms of use of the service
This agreement governs the use of the spherex.kz website and the SphereX development service. By ordering work and paying the invoice, you agree to the terms below. Specific pricing and timelines are fixed in a separate Scope of Work attached to each order.

01About the service
SphereX is a turnkey digital product development service: landing pages, websites, mobile applications, bots, microcontroller firmware, and 1C integrations. The full list of services and indicative pricing is available at /pricing.
The contractor is the SphereX legal entity in the Republic of Kazakhstan. The customer is the individual or legal entity that places an order through the website.
02How to place an order
Describe your task in the chat with the AI consultant on the site. The AI will ask clarifying questions and compile a brief. A manager will contact you within one business day, agree on the details, and send a Scope of Work with the price and timeline.
An order is considered placed once the Scope of Work is signed (via electronic signature or by checkbox in the personal cabinet) and the prepayment is made.
03Public offer
This document constitutes a public offer within the meaning of Article 395 of the Civil Code of Kazakhstan. Acceptance of the offer is payment of the invoice based on an agreed Scope of Work.
Specific obligations of the parties for each order are fixed in the Scope of Work as an annex to the offer. In case of conflict, the Scope of Work prevails over the general provisions of this agreement.
04Pricing and payment
The price of each order is set in the Scope of Work based on the price list and the brief. The indicative prices at /pricing are ranges, not an offer for a specific amount.
Payment terms: 50% prepayment when the order is placed, 50% upon delivery and signing of the acceptance certificate. For projects longer than 6 weeks — milestone-based payments agreed in the Scope of Work.
Available payment methods: Kaspi Pay, Halyk epay, bank transfer (for legal entities), Stripe (for international cards).
05Delivery timelines
The delivery timeline for each order is specified in the Scope of Work. The timeline starts from the day the prepayment is received and the customer provides all necessary materials (texts, access credentials, source data).
If the customer delays providing materials or approving intermediate deliverables by more than 5 business days, the delivery date is shifted by the corresponding number of days.
06Warranty and support
The warranty period is 30 calendar days from the date of delivery. During this period we fix bugs related to the agreed scope free of charge.
Changes and additions to the scope (new features, design rework, architectural changes) constitute a separate order.
Long-term support (hosting, updates, adding features) is provided under a separate SLA agreement, concluded at the customer's discretion.
07Intellectual property
Upon full payment, the customer receives non-exclusive rights to use the deliverables (source code, design, texts) for their own purposes, without time or territorial restrictions.
The contractor retains the right to use general developments (code fragments, patterns, reusable components) in other projects. This does not apply to the customer's unique content (logos, brand identity, content).
08The role of AI agents
AI consultants operate on the site, helping clients compile a brief, track progress, and get answers to technical questions.
AI agents are not legally a party to the contract. Their messages are informational in nature and do not create obligations for SphereX. Any prices, timelines, and terms quoted by AI are valid only after confirmation by a manager and after being recorded in the Scope of Work.
If an AI agent has told you a figure or made a promise that differs from the final Scope of Work, the Scope of Work prevails.
09Limitation of liability
SphereX's liability for each order is limited to the amount actually paid by the customer for that order.
We are not liable for: the customer's lost profits, the correctness of the customer's business idea, certifications and approvals for devices (especially for firmware), integrations with third-party systems outside the scope, downtime of infrastructure not under our control (the customer's hosting, third-party APIs, marketplaces).
These limitations do not apply to liability that cannot be limited under the legislation of Kazakhstan.
10Governing law
This agreement is governed by the legislation of the Republic of Kazakhstan. All disputes are heard in the courts of Kazakhstan at the contractor's location.
If any provision of the agreement is found to be invalid, this does not affect the validity of the remaining provisions.
11Changes to the agreement
We may update this agreement. Changes take effect on the date shown at the top of the page. For active orders, the version in effect at the time the Scope of Work was signed applies.
